** A dispute over marketing rights held by mining group Xstrata’s XTA.L biggest shareholder is threatening a possible takeover by Brazil’s Vale VALE5.SA (RIO.N) worth around $90 billion, a source close to the situation said.

** Colonial’s (COL.MC) shareholders have asked the Investment Corporation of Dubai to make changes to a takeover bid worth more than 3 billion euros ($4.53 billion), the Spanish property company said. [nL28651734]

** British American Tobacco, the world’s second-biggest cigarette maker, struck its second deal in a week with the purchase of Skandinavisk Tobakskompagni’s (ST) cigarettes for 2 billion pounds ($4 billion) as it beat forecasts with an 11 percent rise in 2007 earnings. [nL2893687]

** Indiabulls Real Estate Ltd (INRL.BO) said its board had approved acquiring the entire stake in Dev Property Development Plc DPD.L in a 138-million-pound sterling (10.9 billion rupees) share-swap deal. [nBOM78245]

** Hedge fund manager and billionaire investor Edward Lampert has increased his stake in AutoNation Inc (AN.N) to 34.8 percent through recent buys on the open market, according to a regulatory filing. [nN27485988]

** German-led consortium KG Maritime Shipping offered 440.1 million levs ($339.8 million) for a 70 percent stake in Bulgaria’s state maritime operator Navibulgar, the privatisation agency said. [nL28489246]
