March 10 (Reuters) - The following bids, mergers, acquisitions and disposals involving European, U.S. and Asian companies were reported by 2000 GMT on Tuesday.

** Merck & Co (MRK.N) and Schering Plough Corp SGP.N, in a merger agreement filed with the U.S. Securities and Exchange Commission, said that the agreement includes a $1.25 billion termination fee.

** Swiss drugmaker Roche ROG.VX said again that it deemed its $93 per share offer for U.S. biotech group Genentech DNA.N as fair, after a source familiar with the situation had said the two sides were in talks for a deal at a higher price. [ID:nLA302930]
** Herley Industries Inc HRLY.O, a U.S. defense electronics manufacturer, has put itself up for sale in an auction expected to draw interest from large defense contractors, two sources familiar with the matter said. [ID:nN10524301]
